Every meeting depends on some quiet plumbing: who counted as a voter, when, and why. Boards Care makes that plumbing explicit and auditable, instead of something you reconstruct from memory after a dispute.

Set a record date and the voter register locks to it, so the list of who’s entitled to vote is fixed rather than whoever happens to show up. Enfranchised groups define which member or shareholder groups can vote on a given resolution, resolved as of that same record date. Notice deadlines are tracked automatically, with a compliance status per recipient, so you can show a notice went out on time or explain why it didn’t.

Online voting consent is captured per person, by e-signature or a logged paper form, and gated against your organization’s jurisdiction so nobody votes online who hasn’t agreed to it. Proxy voting runs start to finish — assignment, signed proxy forms, holder acceptance, and proxy-aware quorum — so a member who can’t attend still has a documented path to vote.
